The M&A experts at PLUTA Management GmbH have been advising Lefaxx Jeans on the takeover of Angels GmbH, a fast-growing German fashion company specialising in women’s jeans and trousers. PLUTA has been responsible for providing end-to-end process support on the buy side, including coordinating all financial, legal and tax matters.

The management team at Töpfer GmbH and the restructuring experts at PLUTA have announced positive news in the debtor-in-possession proceedings for baby food manufacturer Töpfer: the creditors and shareholders have unanimously approved the restructuring plan at the discussion and voting meeting held at the Local Court of Kempten on 15 January 2025. This means that the proceedings can soon be concluded.

Insolvency administrator Mr Frank Mößle from PLUTA Rechtsanwalts GmbH has succeeded in finding an investor for Vita Mobil GmbH from Koblenz. The business management expert said, “P+ Ihr Pflegeservice GmbH, also based in Koblenz, will acquire the business by way of an asset deal and keep on all employees. I am delighted with this fresh start and positive outcome.” The acquisition took effect on 1 January 2025.

Faced with economic challenges, Nafz Holzhaus GmbH based in Horb am Neckar has initiated debtor-in-possession proceedings with the aim of ensuring its future viability. The Local Court of Rottweil approved the application from management on 30 December 2024 and ordered provisional debtor-in-possession proceedings. The company is using these proceedings to restructure itself under the guidance of its current management. Experienced restructuring expert Mr Steffen Beck from PLUTA Rechtsanwalts GmbH is supporting the proceedings in his capacity as general agent.

In the Dock Financial Capital GmbH proceedings, the PLUTA team has found an investor for the most important private equity company, Compeon GmbH. FinCompare GmbH, a financing platform for small and medium-sized enterprises (SMEs), has acquired the company by way of a share deal to strengthen its market position.

Attorney Mr Thomas Ellrich has been able to announce another highly satisfactory outcome for all involved in the druckpartner Druck- und Medienhaus GmbH insolvency proceedings: a 100% dividend can be paid out to the company’s creditors in the near future as an advance distribution.

Dammeyer Bauunternehmen GmbH & Co. KG, a building construction firm based in Harsum, Lower Saxony, has filed for insolvency. The Local Court of Hildesheim, as the competent court, then ordered provisional insolvency proceedings and appointed Mr Ingo Thurm from PLUTA Rechtsanwalts GmbH as provisional administrator on 8 January 2025.

To this end, the company filed for debtor-in-possession proceedings. The Local Court of Goslar assented to this application and ordered provisional proceedings on 19 December 2024.

On 19 December 2024, the Local Court of Nuremberg ordered provisional insolvency administration for the assets of Riffelmacher & Weinberger Christbaumschmuck-Fabrik GmbH & Co. KG based in Roth, Middle Franconia, and appointed attorney Mr Daniel Barth from PLUTA Rechtsanwalts GmbH as provisional administrator. He said, “The most important message for customers is that business operations have been maintained without restriction. The company is seamlessly continuing to produce and distribute decorations. All Riffelmacher & Weinberger products are available to wholesalers and therefore the retail trade as normal.”

Insolvency administrator Mr Frank Mößle from PLUTA Rechtsanwalts GmbH has succeeded in finding an investor for conjoin communication GmbH based in Frankfurt am Main. The well-known creative and marketing agency specialising in marketing and digital advertising campaigns had filed for insolvency in late August 2024. Darmstadt agency Trivid GmbH is now set to acquire the business operations. The parties have agreed not to disclose the purchase price.

Following months of negotiations, a solution has been found for Parkwohnstift Bad Kissingen: Ambiente Care Süd GmbH will take over the operation of the retirement home from 1 January 2025. This welcome news brings certainty for residents and job security for staff. Parkwohnstift gGmbH has been involved in debtor-in-possession insolvency proceedings since February 2024. The competent court opened the proceedings on 1 May 2024 and appointed Mr Peter Roeger from PLUTA Rechtsanwalts GmbH as insolvency monitor. He has welcomed the agreement achieved, which will ensure the continued operation of the retirement home.

The PLUTA team has achieved an initial solution with an investor in the insolvency proceedings for the Smileforyou Group. Orthodenta Plus GmbH will acquire the two locations of Smileforyou MVZ GmbH in Göppingen and Eislingen by way of an asset deal and keep on all of the employees.

This step is intended to secure the company’s future and strengthen its market position. The M&A process initiated by provisional insolvency administrator Dr Christian Kaufmann from PLUTA Rechtsanwalts GmbH is in full swing. A number of parties have already submitted non-binding offers, demonstrating the great interest in Vector Foiltec’s innovative solutions. The M&A process will hopefully be concluded quickly by January/February 2025.

Josephs-Hospital Warendorf (JHW) yesterday filed for debtor-in-possession proceedings with the Local Court of Münster, as the competent court. The court approved the application and ordered provisional debtor-in-possession proceedings. PLUTA attorney Mr Stefan Meyer has been appointed provisional insolvency monitor.

Creditors unanimously approved the insolvency plan in the Stute Nahrungsmittelwerke GmbH & Co. KG debtor-in-possession proceedings today. RSM Ebner Stolz had drawn up the plan in close consultation with the insolvency monitor Mr Stefan Meyer and his PLUTA team. The food producer has therefore been restructured, ensuring the company and its jobs have been saved.

The Local Court of Frankfurt opened insolvency proceedings for the assets of Geschäftshaus am Gendarmenmarkt GmbH and appointed Dr Stephan Laubereau from PLUTA Rechtsanwalts GmbH as administrator on 12 December 2024. The company that owns the Trianon commercial skyscraper in Frankfurt am Main has been involved in provisional insolvency proceedings since June 2024.

The relevant parties have initiated the structured process of finding an investor for long-standing furniture manufacturers Staud and Leuwico. The M&A team at PLUTA Management GmbH is conducting the transaction process.

The PLUTA team can announce good news: six months since filing for restructuring under debtor-in-possession proceedings, a solution has now been found for Grasdorf GmbH and Grasdorf-Rad GmbH. The creditors’ assemblies approved the group’s insolvency plan by a large majority in the respective discussion and voting meetings held this week. An investor agreement had already been successfully concluded in late November. Mr Torsten Gutmann and Mr Ingo Thurm from PLUTA Rechtsanwalts GmbH are the insolvency monitors in these proceedings.

Tour operator WE-Flytour has decided to cancel all booked trips with a departure date of 1 January 2025 or later. The relevant parties have already informed customers and travel agencies about this step.

Nodo Metall GmbH from Schwabmünchen near Augsburg has filed for insolvency. Following this, on 29 November 2024, the Local Court of Augsburg, as the insolvency court, ordered provisional insolvency administration for the company’s assets and appointed Mr Georg Jakob Stemshorn from PLUTA Rechtsanwalts GmbH as provisional administrator. Mr Stemshorn said, “We are analysing how things stand from a business and legal perspective. The business is operating and all orders to hand are being worked on.”

An investor solution has been achieved in the debtor-in-possession proceedings for CHRONEXT Service Germany GmbH, a well-known provider of certified pre-owned (CPO) and vintage watches. The Platform Group AG, a software company for platform solutions, has acquired all assets, trademark rights, online shops and locations effective 1 December 2024. The parties have agreed not to disclose the purchase price.

Provisional insolvency administrator Mr Peter Roeger from PLUTA Rechtsanwalts GmbH has initiated the process of finding an investor for the Herz and Westend pharmacies in Schweinfurt. Initial discussions with several interested parties have been encouraging. The objective is to find an investor committed to the pharmacies’ long-term future in the next two to three months.

On 29 November 2024, the Local Court of Neu-Ulm ordered provisional insolvency administration for the assets of SOLARMAX GmbH based in Burgau and appointed Mr Michael Pluta from PLUTA Rechtsanwalts GmbH as provisional administrator.

Seidel Qualitätsbackwaren GmbH, operator of the familiar Seidel Backmanufaktur stores in Peine and the surrounding area, is to reposition itself. To this end, management applied to restructure the company as a debtor in possession. The Local Court of Gifhorn assented to this application and ordered provisional debtor-in-possession proceedings on 2 December 2024.

One month after metal foundry Wilhelm Funke filed for insolvency, attorney Mr Ingo Thurm from PLUTA has provided an initial assessment: “The response from customers and business partners has been extremely positive. The customers remain loyal to us and we have generated a significant number of new orders since the application for insolvency was filed,” said the provisional administrator, describing the current state of affairs. The restructuring expert from PLUTA Rechtsanwalts GmbH has been working with management to reposition the long-standing foundry since late October. The process of finding an investor was launched last week.

After private investors (AURONA Capital GmbH and PENTAPART Beteiligungskapital GmbH) acquired a majority stake in GUSTATUS Holding GmbH in late October 2024, parts of the group had to file an application for debtor-in-possession insolvency proceedings, which was then approved by order of the Local Court of Crailsheim.

Tour operator WE-Flytour, for which the Local Court of Heilbronn recently ordered provisional insolvency administration, has announced the cancellation of all trips with a departure date up to and including 31 December 2024.

The Local Court of Munich has ordered insolvency proceedings for the assets of FWU AG and appointed Mr Ivo-Meinert Willrodt from PLUTA Rechtsanwalts GmbH as administrator. The German company of the provider of unit-linked life assurance had filed for insolvency in July 2024.

The Local Court of Heilbronn ordered provisional insolvency administration for the assets of We-Flytour GmbH and appointed Ms Heike Metzger from PLUTA Rechtsanwalts GmbH as provisional administrator on 27 November 2024.

Mr Georg Jakob Stemshorn from PLUTA Rechtsanwalts GmbH has found an investor for Wäschefabrik Kneer e.K. based in Westerheim in Baden-Württemberg. Nusser Textil GmbH, also headquartered in Westerheim, will acquire the business by way of an asset deal. Around half of the 23 employees will be kept on. The purchase agreement has already been signed. The economic transfer under this transaction is planned for 1 January 2025.
