Download as PDFseele holding GmbH has acquired Abele Ingenieure GmbH (in insolvency) by way of an asset deal. The purchase agreement entered into with insolvency administrator Mr Georg Jakob Stemshorn from the Augsburg branch of PLUTA Rechtsanwalts GmbH for the acquisition of the assets was successfully completed on 28 April 2025. Going forward, the company will operate under the name Abele Automation GmbH & Co. KG and will be integrated into the seele group as an independent subsidiary. Some 50 jobs will be saved.
With the integration of Abele Automation GmbH & Co. KG, seele is expanding its operations to include automation, with a focus on moveable façade systems. It intends to maximise synergies between development, engineering and application in this fast-growing business area. Through the acquisition, seele is strategically strengthening its technology and development operations in the region.
With its solid experience in mechanical engineering, design and automation, the Abele Automation team brings with it key competencies that will be developed further with a focus on automated façade systems. Mr Siegfried Goßner (seele group co-founder and shareholder) and Mr David Abele will manage the business. They have worked together to develop a forward-looking strategy designed to boost competitiveness and develop new markets, combining Mr Siegfried Goßner’s extensive façade construction expertise with Mr David Abele’s many years of automation experience.
“This synergy all but guarantees success,” said Mr Gerhard Seele, managing director of the parent company and also a co-founder of the seele group.
Mr Abele said, “After these challenging months, I am grateful to have a strong partner by our side in seele. I am delighted that we have not only been able to preserve our expertise but also keep on almost our entire team. This is truly a fresh start with promising opportunities.”
Mr Siegfried Goßner was in full agreement: “We intend to power ahead into the world of automated façade systems.”
Insolvency administrator Mr Georg Jakob Stemshorn from PLUTA Rechtsanwalts GmbH expressed his gratitude to all involved for the constructive cooperation and welcomed the agreement achieved: “The successful implementation of this transaction is an important step that creates a viable basis for the future of the Abele business. We are pleased that it has been possible to achieve a sustainable solution that not only makes economic sense but also holds long-term potential for the company.” With regard to the insolvency administration, business lawyer Mr Maximilian König has been responsible for keeping the business operational.
A team under Mr Peter Wieland and Mr Alexander von Abercron at SGP Corporate Finance have supported the M&A transaction.
