PLUTA restructuring expert Florian Zistler sells Urlbauer Haustechnik to BayWa

1 December 2023 · Kempten · Business Area Insolvency Administration

Insolvency administrator Mr Florian A. Zistler from PLUTA Rechtsanwalts GmbH has succeeded in finding an investor for the insolvent Urlbauer Haustechnik GmbH & Co. KG. With effect from today, the operations of the family-run business will pass to the well-known company BayWa Haustechnik GmbH. All remaining staff have been offered continued employment. In total, around 115 jobs within the group will be saved.

The asset deal is part of an overall solution for the Urlbauer Group as a whole, which will continue operating but come under the BayWa umbrella with immediate effect. This means that all business operations of Urlbauer Haustechnik GmbH und Co. KG in Görisried and Urlbauer GmbH in Nesselwang, which incorporates the group’s PV business, will pass to BayWa Haustechnik GmbH. BayWa AG has also purchased the assets of Modulhouse Haustechnik GmbH from the insolvency estate. These will pass to Ketziner Beteiligungsgesellschaft mbH, a company affiliated with BayWa AG, as part of the asset deal.

Best possible solution achieved for Urlbauer Haustechnik

Urlbauer Haustechnik is primarily a bathroom, heating, plumbing and solar specialist. Mr Zistler sees potential for the company in the region: “BayWa is a renowned partner in the industry known for its quality and reliability. I am delighted that we have achieved the best possible solution for the company and the creditors with this partner.” The PLUTA restructuring expert is being supported in the team by, among others, attorney Mr Georg Jakob Stemshorn and business lawyers Mr Maximilian König and Mr Dennis Stroh. PLUTA attorney Mr Martin Jungclaus assisted in the contract drafting. Mr Zistler added, “The employees have responded very positively to the solution. They have stayed loyal to the company despite various approaches by competitors in recent weeks.”

The Local Court of Kempten ordered provisional insolvency proceedings for the assets of Urlbauer Haustechnik GmbH & Co. KG in September. Mr Florian Zistler from PLUTA Rechtsanwalts GmbH’s branch office in Kempten was appointed provisional administrator. With the same court now having given the order for the proceedings to be opened today, the team will continue to work on this matter. Creditors can now file their claims for registration in the insolvency schedule.

Strengthened presence in the Allgäu region

Operations at the Görisried site will initially continue as usual, strengthening BayWa Haustechnik GmbH’s presence in the Allgäu region. The Görisried and Nesselwang companies will trade under the BayWa Haustechnik GmbH name going forward.

“The acquisition of the insolvent Urlbauer Group represents an attractive growth opportunity for us in BayWa Haustechnik GmbH’s core plumbing, heating and air conditioning business,” said Mr Peter Flierl, Head of Energy at BayWa AG. “Besides expanding our sales territory, bringing the employees into our fold is another important reason for taking this strategic decision. It is not easy to recruit assembly, service, sales or back office professionals. With the Urlbauer Group’s expertise and future-oriented solution portfolio, we will have even greater capacity and competence to meet the current renovation backlog in heating installation as well as demands from policymakers in respect of thermal refurbishments.”
