All windeln.de SE shares to be transferred to investors under insolvency plan

In the insolvency proceedings for windeln.de SE (‘windeln.de’ or the ‘company’; ISIN: DE000WNDL300 and DE000WNDL318), insolvency administrator Mr Ivo-Meinert Willrodt from PLUTA Rechtsanwalts GmbH is in the process of drawing up an insolvency plan.

A key part of the plan envisages reducing the company’s debt, transferring the current shares to various investors (including Hamburg-based MERIDIANA Capital Group GmbH) and maintaining the company’s stock market listing. The investors have signed a corresponding letter of commitment and acceptance. Existing shareholders will receive no compensation. An offer pursuant to the German Securities Acquisition and Takeover Act (WpÜG) is not envisaged. The insolvency plan will serve solely to satisfy the company’s creditors.

Once it has been drawn up and reviewed, the insolvency plan will be presented to creditors for approval at a discussion and voting meeting, which is expected to take place in late summer.
