PLUTA attorney Georg Jakob Stemshorn seeks investor for Nodo Metall

Nodo Metall GmbH from Schwabmünchen near Augsburg has filed for insolvency. Following this, on 29 November 2024, the Local Court of Augsburg, as the insolvency court, ordered provisional insolvency administration for the company’s assets and appointed Mr Georg Jakob Stemshorn from PLUTA Rechtsanwalts GmbH as provisional administrator. Mr Stemshorn said, “We are analysing how things stand from a business and legal perspective. The business is operating and all orders to hand are being worked on.”

The provisional insolvency administrator has already informed the 54 people presently employed by the company about the current situation. Their salaries are guaranteed thanks to specific substitute benefits provided under German insolvency law. The application has been filed due to persistently low sales, especially in new customer business. At the same time, costs have remained very high.

Structured process launched to find an investor

The business operates in the area of sheet metal working and laser cutting. With its modern machinery, Nodo Metall can offer a high level of vertical integration for all kinds of different application areas and customer segments. The team has already held discussions with the business partners. Suppliers and customers support the company’s efforts to continue operating. The company will take the restructuring steps needed in the coming weeks. The next stage involves initiating the process of finding an investor.

PLUTA restructuring expert Mr Stemshorn said, “We need an investor for the business. I will initiate a structured process of finding an investor together with my team. In that respect, we will soon commence discussions with interested parties.” The offers will then be thoroughly examined.

An experienced interim manager is advising management on keeping the business operational. The relevant parties will also work together over the coming weeks to review and adapt internal processes. In addition to Mr Stemshorn, the team is made up of business lawyer Mr Maximilian König and Ms Martina Kaderabek.

Nodo Metall offers customers all services, from sheet metal part development and optimisation through to series manufacturing. As a one-stop shop, the business takes care of everything involved in sheet metal working: from laser cutting, punching, forming, bending, flanging and welding with almost 30 welding stations through to surface treatment – for all types of sheet metal. Nodo Metall GmbH is the successor company to W. Nusser GmbH, which filed for insolvency in spring 2024. The proceedings for that business are being conducted independently of Nodo Metall’s application.
