Download as PDFRestructuring expert Dr Christian Kaufmann from PLUTA Rechtsanwalts GmbH has announced the successful conclusion of the M&A process conducted as part of the proceedings for the Vector Foiltec Group. The insolvency administrator has achieved a sustainable follow-up solution for Vector Foiltec GmbH, which specialises in the manufacture of innovative roofing and façade systems, effective 1 May 2025.
Some members of the architecture specialist’s management team have joined with a strategic partner, the BEMO Group based in the US, to acquire the assets of Vector Foiltec GmbH by way of a management buy-out and transfer them to a new company. The BEMO Group, an expert in metal building envelopes with its key companies in the US and Germany, is strategically expanding its portfolio and its international presence as a provider of overall solutions for architecturally ambitious and sustainable building envelopes with this partnership.
Vector Foiltec Holding GmbH, which offered management services for the group, and Vector Foiltec Europe GmbH, which functioned as its European distribution company, have ceased operating.
Business operations maintained since filing for insolvency
“We have achieved the best possible solution for Vector Foiltec and found the urgently needed investor. The big advantage of a management buy-out is that it preserves the expertise and professional competence. The company’s innovative façade systems will therefore continue to feature in various impressive projects in the future,” said Dr Christian Kaufmann. Since the application for insolvency was filed in November 2024, the PLUTA attorney and his restructuring team have maintained the business operations and launched the process of finding an investor, which has now been concluded.
Impressive technical expertise
Around 60 jobs have been saved with the agreed solution. “Vector Foiltec has impressive technical expertise and a clear market position. We view the acquisition and the future close collaboration between Vector Foiltec and BEMO as a strategically sound investment and feel confident about our ongoing development together in a demanding environment,” said Mr Hans Wiedemann, managing director of the newly founded company LIGHTSPAN HOLDING.
The facility in Bremen will be maintained.
Vector Foiltec, founded in 1982, has installed over 5,000,000 m² of ETFE film and completed 1,700 projects worldwide. The business filed for insolvency in early November 2024 and the Local Court of Bremen appointed Dr Christian Kaufmann as provisional insolvency administrator for the companies. On 1 March 2025, the court opened the proceedings and appointed Dr Kaufmann as regular administrator. Vector Foiltec GmbH, Vector Foiltec Holding GmbH and Vector Foiltec Europe GmbH are all involved in insolvency proceedings. The various subsidiaries worldwide, meanwhile, are not involved in such proceedings and are not affected by the solution that has now been found.
In addition to Dr Christian Kaufmann, the PLUTA team is comprised of attorney Mr André Gildehaus and business lawyer Ms Nicole Neumerkel. FIDES Corporate Finance GmbH under managing director Mr Tobias Kersten is also providing support.
