PLUTA team secures investor for Cleanskin – international M&A process successfully concluded

12 October 2026 · Munich, Germany · Business Area Insolvency Administration

The PLUTA team has managed to achieve a successful continuation solution for the operations of Cleanskin Betriebs GmbH, which had filed for insolvency with the Local Court of Munich on 9 July 2026. Insolvency administrator Mr Ivo-Meinert Willrodt, together with PLUTA attorneys Ms Linda Haneke and Mr Rasmus Linden, has succeeded in securing a strategic investor as part of a structured, international M&A process conducted by SGP Corporate Finance: Aever Clinics Germany GmbH, a fast-growing operator of aesthetic clinics, will acquire and continue operating most of the locations in Germany. This will ensure access to treatments for customers at those locations, while the majority of the jobs will be saved.

Four locations to continue operating

Aever Clinics is an international aesthetic clinic operator headquartered in Amsterdam, the Netherlands. It will acquire the business operations of Cleanskin Betriebs GmbH by way of an asset deal. The operations at four locations – Essen, Dortmund, Leipzig and Munich – will be taken over and the employees there will be kept on. The Düsseldorf location, which had already been closed before the insolvency proceedings began, is expected to reopen. Customers will be able to continue to receive treatments without interruption. The clinics will remain open and be operated by Aever Clinics going forward.

The aim of the investor process was to find a viable continuation solution as quickly as possible. Aever Clinics is now on board, and this fast-growing operator will expand its presence in the German market while securing a future for the acquired business, the locations and the employees.

Competitive investor process

The sale of the business operations of Cleanskin Betriebs GmbH was prepared and supported during the provisional insolvency proceedings as part of the M&A process. Following targeted outreach in Germany and further afield, several potential strategic buyers submitted offers. Ultimately, Aever Clinics secured the acquisition. This allowed a forward-looking solution to be achieved despite the tight timescale involved. The continuation of the business over the past few months was an important condition for this.

“We have worked hard on a solution in recent weeks. I am delighted that we have been able to achieve the best possible outcome for Cleanskin. I would like to thank all of the parties involved for the constructive negotiations and SGP Corporate Finance for the successful collaboration throughout the investor process,” said Mr Ivo-Meinert Willrodt. The Local Court of Munich opened the proceedings on 28 September 2026 and appointed the PLUTA attorney as insolvency administrator.

The SGP M&A team comprised Mr Alexander von Abercron and Mr Till Rintelmann.
