Download as PDFISG Deutschland GmbH, a leading construction service provider delivering high-quality fit out solutions, has formally announced that it has launched an M&A process. It is aiming to quickly find a suitable investor that will strengthen the company in the long term and secure its business operations. Experienced transaction specialist Mr Robert Neufeld from novaerion GmbH is leading the structured M&A process.
ISG Deutschland GmbH has been involved in provisional debtor-in-possession proceedings since 18 October 2024 and is being supported in this context by PLUTA Rechtsanwalts GmbH and provisional insolvency monitor Dr Jan Markus Plathner from Brinkmann & Partner. The M&A process is a crucial step in ISG’s turnaround concept, which is aimed at restructuring the company and putting it on a viable footing.
“We have put a great deal of effort into the preparatory work and now formally launched the process of finding an investor,” said Mr Philip Konen from PLUTA. Mr Robert Neufeld from novaerion said, “A number of interested parties have already made contact, and we will conduct this process with the utmost priority and care. Any investors wishing to learn more can reach out to us right now to get access to the data room that we have set up.”
Business continuity ensured
ISG Deutschland GmbH is continuing to operate without restrictions during the entire process. “The ISG team is showing tremendous commitment in actively supporting the transaction process while carefully completing all ongoing construction projects on schedule – in close cooperation with our long-established and proven network of subcontractors. We appreciate the trust and support shown by our business partners, who have pledged to continue delivering our current projects together with us,” said managing director Mr Daniel Ngai-Kocher.
Debtor-in-possession proceedings are in-court restructuring proceedings to rescue and rehabilitate financially distressed companies. Management remains in charge and guides the company concerned through the proceedings itself with support from restructuring experts. In such proceedings, the court appoints a provisional insolvency monitor, who oversees the process in the interests of the creditors.
Attorney Mr Philip Konen and business management expert Mr Ludwig Stern from the PLUTA team are acting as general agents. Attorney Mr Alexander Park, restructuring consultant Mr Sebastian Schade and Ms Celine Plaschke, Master of Laws (LL.M.), are also providing support.
ISG has been a leading provider of fit out construction services for over 30 years and produces high-quality solutions for national and international businesses. With its comprehensive offering, the company supports its customers from the planning stage through to turnkey delivery. ISG Deutschland GmbH has offices in Berlin, Frankfurt and Munich.
