A well-known investor will acquire Burnus GmbH and Ernst Zeiss GmbH

The PLUTA team has succeeded in finding an investor solution for Burnus GmbH in Darmstadt and Ernst Zeiss GmbH in Zülpich. Mr Frank Heller, an experienced investor based in Munich, has taken over the business operations of both companies by way of an asset deal on 1 November 2022. Going forward, the business will trade as Burnus Care GmbH. The Burnus Group is a long-established manufacturer of body care products and detergents. Thanks to the solution achieved, brands such as Kamill, burti, cliff, Glysolid and Litamin, that are popular in the German and international markets, will be preserved.

Effective 15 December 2022, Northern Helicopter GmbH, based in Emden, and its associated companies will take over the shipyard segment, the Continuing Airworthiness Management Organisation (CAMO) and Approved Training Organisation (ATO) activities as well as the Sea Pilot Transfer business together with two Airbus H145 helicopters required for this. Around 50 employees will be kept on. The purchase agreement signed at the end of September is still subject to some closing conditions.

Good news for Kleeschulte, the well-known and long-established agricultural company: the restructuring process and debtor-in-possession proceedings have been concluded. The company’s future has been secured thanks to an insolvency plan that has become legally effective since its unanimous approval by the creditors. Raiffeisen Westfalen Mitte (RWM) will invest in the company together with the existing shareholder and acquire 50% of the shares in Kleeschulte GmbH & Co. KG as part of a capital increase. The other 50% will remain with the current owner, Mr Bernd Kleeschulte. All 50 jobs have been saved. The company filed for debtor-in-possession proceedings in late September 2021 after out-of-court restructuring efforts failed due to the resistance of one major creditor in particular.

The future of drone manufacturer EMT from Penzberg has been secured: the Rheinmetall Group based in Düsseldorf has acquired the business by way of an asset deal. With both companies having already signed a corresponding agreement in late November 2021, the creditors’ committee then approved the transaction at its meeting on 28 December 2021 following authorisation from the creditors’ assembly. The final closing condition was therefore met and the investor solution was completed effective 1 January 2022. EMT had been involved in a restructuring process under debtor-in-possession proceedings for over a year, for which restructuring expert Mr Ivo-Meinert Willrodt from PLUTA Rechtsanwalts GmbH was appointed insolvency monitor.
