PLUTA restructuring expert Peter Roeger finds investor for MTA Prototyping

8 January 2021 · Bayreuth · Business Area Insolvency Administration

. Restructuring expert Mr Peter Roeger from PLUTA Rechtsanwalts GmbH has found an investor for MTA Prototyping GmbH. A newly founded company owned by both Werbik Industries GmbH based in Altdorf bei Nürnberg and a private investor from Rohr has acquired the business operations effective 16 December 2020 by way of an asset deal. The parties involved have already signed the purchase agreement for an undisclosed purchase price. The company’s Nordhalden location will be retained.

PLUTA restructuring expert Mr Roeger expressed his satisfaction with the outcome achieved: “In spite of the difficult economic situation at this time, my team and I have been able to find the best possible solution following thorough examination. Customers and employees have actively supported us in this. We would also like to thank the former managing director, Ms Anita Michel, as well as Mr Timo Michel, who have both played their part in this process and helped to bring about this positive outcome. The retention of this well-known business is also an important signal for the region.” The newly founded MTA Technical Solutions GmbH will take on most of the employees, while Ms Anita Michel and Mr Timo Michel will also remain on board.

Many years of experience in developing and manufacturing parts and components

Ms Angela Rebekka Werbik took her first entrepreneurial steps in 2007 as part of a management buyout (MBO) of the company ZSI technology GmbH. ZSI technology GmbH has been synonymous with innovative technology and customised solutions ever since its founding back in 1972. It mainly supplies to companies in the automotive and consumer industries and has established itself in these segments of the market.

The company specialises in product development for well-known companies, along with various manufacturing services. Headquartered at Altdorf bei Nürnberg in the Franconia region, the company’s core business includes software and electronics development, tool design and the construction of parts and components of varying degrees of complexity. The experienced team also manufactures electronic assemblies, plastic injection-moulded parts, metal components and even complex mechatronic systems.

LR Fahrzeugbau GmbH based in Wolfratshausen was added to the company in 2014 to facilitate a holistic approach to customised service provision and comprehensive in-house value creation. Its services range from the construction of forming tools and manufacture of metal parts and components through to the creation of exhibits, devices and samples. LR Fahrzeugbau GmbH is connected with ZSI technology GmbH through the ownership structure, i.e. via Ms Angela Rebekka Werbik.

Ms Angela Rebekka Werbik founded Werbik Industries GmbH to further pursue the goal of increasing the level of value creation. Werbik Industries GmbH has set itself systematically about this task and looks for companies that are a good fit for the existing structure.

ZSI technology GmbH and LR Fahrzeugbau GmbH cover the development and manufacture of parts and components on the basis of an end-to-end product creation process. With the transfer of the former MTA Prototyping GmbH, now MTA Technical Solutions GmbH, to the company group, the prototyping that comes before these services can now also be offered.

“Working in collaboration, ZSI technology and LR Fahrzeugbau consider themselves a competent partner to their customers for innovative technical development and manufacturing services. We always provide individual and tailored support. The employees of the former MTA Prototyping have many years of experience and extensive know-how in the area of prototypes and functional models. Accordingly, the acquisition perfectly complements our portfolio. We are pleased with the agreement reached and see a bright future for MTA Technical Solutions GmbH,” said managing director Ms Angela Rebekka Werbik.

The Local Court of Coburg opened insolvency proceedings for the assets of MTA Prototyping GmbH on 16 December 2020 and appointed Mr Peter Roeger as insolvency administrator. He had previously acted as provisional insolvency administrator for the company. Mr Roeger and his PLUTA team have kept the business fully operational ever since the application was filed, while observing the stricter hygiene measures in place.
