Dr Christian Kaufmann from PLUTA Rechtsanwalts GmbH has found an investor for Bremen-based software developer bremacon. Effective 1 February 2021, Power PFM GmbH from Düsseldorf has taken over the business operations by way of an asset deal. The parties involved have agreed not to disclose the purchase price. The experts at M&A consultancy GO & Company supported the PLUTA team during the process of finding an investor.
PLUTA restructuring expert Dr Kaufmann is very satisfied with the outcome: “I am delighted that the investor has taken over all of bremacon’s employees and business operations. The current managing director of bremacon GmbH will also remain on board. In spite of all of the challenges resulting from the coronavirus pandemic, we have been able to successfully conclude the process of finding an investor. Following thorough examination, we have found the best possible solution for the software developer. The customers, the committed employees and the managing director have played a key role in this positive outcome through their support.” Dr Kaufmann is being supported in the proceedings by attorney Mr André Gildehaus.
The main owners of Power PFM GmbH are Kolisch Holding GmbH and Hayv GmbH. bremacon GmbH develops software solutions for the energy industry. The small team of developers offers an energy logistics system solution for the comprehensive automation and digitalisation of sales, procurement and analysis processes. Moreover, the bremacon team advises and supports individual power companies as well as energy and municipal utility partnerships.
Mr Martin Kolisch, managing director of Power PFM GmbH, said: “The takeover of bremacon allows us to expand our product portfolio and offer our customers an even more tailored service. I am looking forward to working with the new employees. They have many years of experience and extensive know-how in the area of software solutions for the energy industry.”
On 1 February 2021, the Local Court of Bremen opened insolvency proceedings for the assets of bremacon GmbH and appointed Dr Christian Kaufmann as administrator. He had previously acted as provisional insolvency administrator for the company. Dr Kaufmann and his PLUTA team have kept the business fully operational ever since the application for insolvency was filed, while observing the stricter hygiene measures in place.
