PLUTA restructuring expert Dr Christian Kaufmann achieves investor solution: 3C Group acquires furniture manufacturer DOMO Collection and production facility in Poland
After three months of continued operations during the provisional insolvency proceedings, the PLUTA team has thus succeeded in securing an investor who will safeguard the furniture manufacturer’s future. DOMO Collection GmbH had filed for insolvency in the summer. On 3 August 2026, the Local Court of Oldenburg ordered provisional insolvency administration and appointed attorney Dr Christian Kaufmann from PLUTA as provisional administrator. The company’s furniture is manufactured via a subsidiary in Poland, Oflor Sp. z o.o. based in Psarskie, for which an insolvency application was also filed. The Local Court of Oldenburg, as the competent court, appointed Dr Christian Kaufmann as provisional insolvency administrator in those proceedings as well on 6 August 2026. The local court opened the two proceedings on 28 October 2026 and 1 November 2026 respectively and appointed the PLUTA partner as regular administrator.
More than 220 jobs saved
One key element of the acquisition is the preservation of the manufacturing facility in Psarskie. Production of upholstered furniture will continue there under the umbrella of the new company. All of the approximately 220 employees at the site have been kept on, preserving the existing manufacturing and product development expertise. Customer service will continue to be provided by a sales office in Hude, acting as a central point of contact. Nine employees have been kept on at this location. Manufacturing as well as operational and commercial processes will be centralised at the Polish site going forward. The business will continue to build on its present product range, with its focus on the needs of online and distance retailers, while maintaining reliable relationships with existing customers and suppliers. The DOMO Collection brand will continue unchanged.
Dr Christian Kaufmann said, “Our aim was to find a solution for DOMO and the manufacturing company in Poland. We have succeeded in this. We have worked hard on a solution and have managed to secure the ideal investor in the M&A process. This is a very positive outcome for all concerned. I would especially like to thank the employees, customers and business partners who have supported the continuation of operations. It has been crucial to maintain stable operations over the past three months.”
In addition to Dr Christian Kaufmann, the PLUTA team comprises attorney Mr Alexander Bortfeldt, business management expert Ms Vivien Doll and economist Dr André Schulte, who is also a management expert. The process of securing an investor was supported by transaction experts at WAYES led by Mr Falk Schnurbusch and Mr Michael Rabe. Attorney Dr Arthur Bunk from Spencer West, attorney Ms Sabina Korpalska from law firm Korpalska and Dr Aleksandra Krawczyk, LL.M., from KRAWCZYK LEGAL&TAX provided support on issues of Polish law. Attorney Dr Christoph Bode advised on pre-insolvency matters.
Brand with its own product range
The newly established Domo Collection Sp. z o.o. headquartered in Psarskie, Poland, a subsidiary of 3C Holding GmbH, has acquired the activities of the insolvent DOMO Collection GmbH based in Hude and the manufacturing operations of its Polish subsidiary Oflor Sp. z o.o. by way of an asset deal. With DOMO Collection, the group has gained a brand with its own product range and distribution channels.
The 3C Group is successfully established in national and international brick-and-mortar furniture retail with its Candy, Candy Sleep and Carina brands, through which it also has an online retail presence. DOMO Collection has long-standing, stable customer relationships in e-commerce and therefore complements the 3C Group’s corporate portfolio. Both business areas will be managed with their own independent market positioning, distribution channels and customer relationships.
Mr Carl-Christoph Held, managing director of the 3C Group, said, “We will deliberately pursue different business strategies for our established brands and for DOMO Collection. The clear positioning of the individual brands and distribution channels is a key success factor for us. This will allow us to consistently develop our long-standing partnerships with furniture retailers while tapping into additional market potential.”
Focus on continuity and stability
The acquisition is in line with the long-term growth strategy of the 3C Group, which has continuously expanded and developed its manufacturing capacities and business processes over recent decades. The new subsidiary will benefit from expertise gained in professionalising and digitalising processes as well as in quality, IT systems and customer service. “We have made this decision very deliberately and from a position of corporate stability,” said Mr Markus Kemming, managing director of the 3C Group. “DOMO Collection has potential that we want to preserve and expand in a targeted manner. Our aim is to achieve successful, economically sound development within the 3C Group over the long term.”
On the buyer’s side, advice was provided by attorneys Dr Kristof Wilmes, LL.M., and Mr Raimo Mertsch from Michels Wilmes Rechtsanwälte PartGmbB based in Münster, Dr Urban Steffen, business management expert, attorney, public auditor and tax consultant, from Dr. Steffen & Partner mbB based in Münster and, for Polish law, WKB Wierciński, Kwieciński, Baehr sp. k., a law firm based in Warsaw and Poznań.
